Welcome to Thryakshari Software Solutions - Notifyy.io is a product of Thryakshari Software Solutions.

These Terms of Service (“Terms”, “Terms of Service”) govern your use of our website located at Notifyy.io,(together or individually “Service”) operated by control.Thryakshari Software Solutions(“Company”, “Notifyy.io”, “Notifyy”, “we”, “us”, or “our”).

We provide a Software as a service that allows our customers to store, manipulate, analyze, and create campaigns through E-mail\WhatsApp according to their business and transfer messages between their business systems and their customers on a variety of Notifyy.io provided and third party messaging channels (the Service”).

Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard and disclose information that results from your use of our web pages. Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood Agreements, and agree to be bound of them.

If you do not agree with (or cannot comply with) Agreements, then you may not use the Service, but please let us know by emailing at info@notifyy.ioso we can try to find a solution. These Terms apply to all visitors, users and others who wish to access or use Service.

If a Customer violates any of the terms described below, we reserve the right to cancel accounts or bar access to accounts without notice. We may refuse service to anyone for any reason at any time.



1. NOTIFYY Platform

(a) Customer has read and accepted and is in compliance with its obligations under the applicable terms of use related to all applicable Third Party Messaging Platforms, Pre-Integrated Third Party Business Applications, and Custom-Integrated Business Applications; and (b) has taken all steps as necessary to enable interoperability between the NOTIFYY.io Platform and all applicable Third Party Messaging Platforms, Pre-Integrated Third Party Business Applications, and Custom-Integrated Business Applications, including acquiring the necessary approvals and API keys, whether directly or via Customer’s Clients, to access these messaging channels as a business.



2. Modifications to the Service and Fees

Thryakshari Software Solutions, in its sole discretion and at any time, may modify Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. It reserves the right to modify, suspend, or discontinue the service at any time for any reason with or without notice.

Thryakshari Software Solutions will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective

Your continued use of Service after Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

We reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Should you continue to use the Service after any such modifications have been made, this shall constitute your agreement to such modifications.



3. Trademark License

Notifyy.io hereby grants Customer a nontransferable, nonexclusive license under Thryakshari Software Solutions trademarks during the Term for the purpose of fulfilling Customer's obligations, and exercising its rights, hereunder. Customer hereby grants to Notifyy.io a nontransferable, nonexclusive license under Customer's trademarks during the Term for the purpose of fulfilling Notifyy’s obligations, and exercising its rights, hereunder.

Each party will submit advertising materials containing the other party's trademarks to the other party before release to the public for inspection, and such other party will have the right to modify any such advertisements. All use of Notifyy trademarks by Customer shall inure to the benefit of Notifyy, and all use of Customer trademarks by Notifyy shall inure to the benefit of Customer.



4. Copyrights & Ownership

All title, including but not limited to copyrights, in and to the Notifyy.io and any copies thereof are owned by Thryakshari Software Solutions. All title and intellectual property rights in and to the content which may be accessed through use of the Notifyy.io is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This grants you no rights to use such content. All rights not expressly granted are reserved by Thryakshari Software Solutions.

This agreement helps in Customer agrees not to resell, duplicate, reproduce or exploit any part of the Service without the express written permission of Notifyy.io. For greater certainty, the Notifyy.io Property is licensed and not “sold” to Customer.

Notifyy.io claims no intellectual property rights over the Content you upload or provide to the Service.


Notifyy.io’s Right to Use Customer Data

This policy describes that the Customer acknowledges and agrees that Notifyy.io may collect, store, use, reproduce, Modify, and transfer to its subcontractors, Customer Data, including Personal Data, solely in connection with delivering the Services under this Agreement. Customer further acknowledges that notifyy.io use the customer data for internal business and improve the quality of the existing service and tool.

This Policy also outlines your data subject rights, including the right to object to some uses of your Personal Data by us.



5. Customer Responsibilities Customer Accounts.

Customer is responsible and liable for all uses of the Software, Hosted Services and Documentation, as applicable, resulting from access provided by Customer, directly or indirectly, whether such access or use is permitted by or in violation of the Schedule Agreement. Without limiting the generality of the foregoing, Customer is responsible for all acts and omissions of Authorized Users, and any act or omission by an Authorized User that would constitute a breach of the Schedule Agreement if taken by Customer will be deemed a breach of the Schedule Agreement by Customer.

Based on the Customer’s request we issue one or more administrator accounts that can be used as Administrative user. Customer will ensure that Administrative Users only use the Notifyy.io Platform through their Customer Account. Customer will not share the Administrator Accounts with any other person and will not allow Administrative Users to share their Customer Account with any other person. Customers are responsible for ensuring the account privacy and security including protection of User name and password.

Use Restrictions - Customer acknowledges and agrees that it is responsible for the activities and communications of all Administrative Users and Chat Participants on the Notifyy.io Platform, and the compliance by all Administrative Users, Customer’s Clients and Chat Participants with this Agreement, and any guidelines and policies published by Notifyy.io from time to time.


The Customer is fully responsible for all activities that occur under the account and any other actions taken in connection with the account. You are responsible for all Content send and activity that occurs under your account (even when Content is sent by others to your account).


We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Use.

Without limiting the generality of any of the foregoing, Customer will not, and will not permit any other person (including any Administrative Users, Customer’s Clients or Chat Participants) to:

Use the Notifyy.io Platform to send, upload, collect, transmit, store, use, disclose or process, or ask notifyy.io to obtain from third parties or perform any of the above with respect to, any Customer Data:

  • That contains any computer viruses, worms, malicious code, or any software intended to damage or alter a computer system or data;
  • that Customer or the applicable Administrative User, Customer’s Client or Chat Participant does not have the lawful right to send, upload, collect, transmit, store, use, disclose, process, copy, transmit, distribute and display; that is false, intentionally misleading, or impersonates any other person;
  • that is bullying, harassing, abusive, threatening, vulgar, obscene, or offensive, or that contains pornography, nudity, or graphic or gratuitous violence, or that promotes violence, racism, discrimination, bigotry, hatred, or physical harm of any kind against any group or individual;
  • that is harmful to minors in any way or targeted at persons under the age of 16;
  • Attempt to gain unauthorized access to theNotifyy.io Platform;
  • Use the Notifyy.io for the purpose of building a similar or competitive product or service; or

WhatsApp & Usage Policy

The Customer acknowledge to all the terms & conditions set by WhatsApp at all times. WhatsApp may update WhatsApp Business Policy without notice; by continuing to use the WhatsApp Business Products after such change, Customer consents to such changes. Customer need to follow the WhatsApp policies.

WhatsApp has the absolute discretion to review, approve or reject any Message Templates (as defined in WhatsApp documentations) at any time.

Any violation of these WhatsApp policies may lead to suspension of the number by WhatsApp. WhatsApp has absolute discretion to limit or remove Customer’s access to or use of the WhatsApp Business Products if Customer receives excessive negative feedback, causes harm to WhatsApp or WhatsApp’s users, or violates or encourages others to violate our terms or policies, as determined by WhatsApp in our sole discretion. If WhatsApp terminates your account for violations of relevant WhatsApp Business terms or policies, WhatsApp may prohibit Customer and Customer organization from all future use of WhatsApp products.

We take no responsibility in case of any such violations. Any additional charges arising due to this shall be taken care by the Customer. Once Customer registered with Notifyy.io cannot use the same number as WhatsApp business account.


WhatsApp Onboarding & Verification Terms

By using Notifyy, customers agree to the setup for WABA and WhatsApp business API, and will provide all the prerequisite documents as required by Whatsapp


WhatsApp Message Policy

The below sections on "Opt-in" and "Acceptable Message Types" only apply to the WhatsApp Business Solution (WhatsApp Business API).

Opt-in:

  • In order to initiate a WhatsApp message to a person, you must first receive opt-in permission confirming that they wish to receive future messages from you on WhatsApp. The opt-in must (a) clearly state that the person is opting in to receive messages from you over WhatsApp and (b) clearly state your business’ name.
  • You are solely responsible for determining the method of opt-in, that you have obtained opt-in in a manner that complies with laws applicable to your communications, and that you have otherwise provided notices and obtained permissions that are required under applicable law.
  • To help ensure a strong user experience, review the Opt-in best practices suggested below.
Acceptable Message Types:
  • Customer may only initiate conversations using an approved Message Template (as defined in our documentation). This is considered a business-initiated conversation, which is subject to applicable pricing. Any Message Template must comply with our terms and these policies, and only be used for its designated purpose. We have the right to review, approve and reject any Message Template at any time.
  • Customer may reply to a user message without use of a Message Template as long as it's within 24 hours of the last user message. Conversations initiated by users open once the first business reply message is delivered. Standard pricing applies for these user-initiated conversations. Outside the 24-hour customer service window, you may only send messages via approved Message Templates, for which we will charge the business-initiated conversation rate.
  • Customer may use automation when responding during the 24-hour window, but must also have available prompt, clear, and direct escalation paths. These escalation paths include:

6. Email and Web Support

Customer will generally have access to Notifyy’s technical support from 8.00 am to 7:00pm IST on weekdays through email support, or through the web site using our chat box, or by mailing us on info@notifyy.io.



7. Fees and Payment

Fees - Customer will pay to Thryakshari Software Solutions the applicable fees described on the Notifyy.io Website (the “Fees”) during the Term in accordance with the payment terms set out herein.

Notifyy.io will not charge any cost for whatsapp messages, only the charges are applicable to Subscriptions. All the charges for the whatsapp messages will directly charge by Facebook

Payment Terms:

– All Fees shall be in Indian Rupees.

– The Fees start immediately after you make the payment. The onboarding verification time is counted towards the subscription.

– One-time onboarding fee for WhatsApp Green Checkmark Verification is non-refundable. WhatsApp holds absolute discretion whether to grant Green Checkmark, that they verify Customer as an authentic, notable brand that owns the WhatsApp account. https://developers.facebook.com/docs/whatsapp/guides/display-name/

–Subscription Fees is charged on a pre-pay basis. and usage Fees is charged on a post-pay basis at the end of each month, and will cover the use of that variable messages fees for the previous month. All monthly & usage payments are nonrefundable.

– There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. In order to treat everyone equally, no exceptions will be made.

Account or your access to your Account, and the forfeiture and relinquishment of all content in your Account. This information cannot be recovered from notifyy.io once your account is cancelled.

Taxes - The Fees set out in this Agreement do not include applicable taxes, duties, withholdings, tariffs, levies, customs, capital or income taxes or other governmental charges or expenses, including but not limited to value added tax, sales tax, consumption tax and similar taxes or duties as well as any current or future municipal, state, federal or provincial taxes, and Customer will pay, indemnify and hold harmless Notifyy.io from same, other than taxes based on the net income or profits of Notifyy.io.



8. Limitation of Liabilities

You understand and agree that we will not be liable to you or any third party for any damage, injury, or loss of profits, use, goodwill, or data, or for any incidental, indirect, special, consequential, or exemplary damages, however arising, that result from.

2.Your use or inability to use the Service

3.Any modification, price change, suspension, interruption, cessation of transmission, or discontinuance of the Service

4.The Service generally or the software or systems that make the Service available

5.Unauthorized access to or alterations of your transmissions or data

6.Statements or conduct of any third party on the Service

7.Any other user interactions that you input or receive through your use of the Service

8.Hacking, tampering, or other unauthorized access or use of the Service or your account(s) or the information contained therein

9.Errors, mistakes, or inaccuracies of data & Personal injury or property damage, of any nature whatsoever, resulting from your and authorized users' access to and use of the Service or support

10.Any other matter relating to the Service.

Our liability is limited whether or not we have been informed of the possibility of such damages, and even if a remedy described in this Agreement is found to have failed of its essential purpose. We will have no liability for any failure or delay due to matters beyond our reasonable control

These limitations will not apply to damages arising out of a party's failure to comply with its confidentiality obligations, indemnification obligations, or payment obligations to Software. Except for their respective indemnity and confidentiality obligations, in no event will either party, their affiliates, directors, employees, or licensors be liable to the other party or any authorized user for any claims, proceedings, liabilities, obligations, damages, losses, or costs in an amount exceeding the fees you paid to Software.

This limitation of liability section applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if the non-breaching party has been advised of the possibility of such damage. The above limitations of liability will apply to the fullest extent permitted by law in the applicable jurisdiction.



9. Term and Termination

Notifyy.io makes no warranties regarding (i) your ability to use the Service, (ii) your satisfaction with the Service, (iii) that the Service will be available at all times, uninterrupted, and error-free (iv), the accuracy of mathematical calculations performed by the Service, and (v) that bugs or errors in the Service will be corrected. Notifyy.io and its affiliates are neither responsible nor liable for any direct, indirect, incidental, consequential, special, exemplary, and punitive or other damages arising out of or relating in any way to your use of the Service. Your sole remedy for dissatisfaction with the Service is to stop using the Service.

Term - This Agreement will commence on the Effective Date and continue to be in effect until your subscription has been terminated in accordance with the terms Customer agreed to on the Notifyy.io website at time of signup (the “Term”). For greater certainty, if Customer has subscribed to an ongoing subscription, then such subscription will automatically renew at its expiry for the same period of time, at the then-current subscription rate described on the Notifyy.io Website.

Termination for Convenience - Either Party may elect to terminate this Agreement and your subscription to Notifyy.io services as of the end of your then current Term by providing notice, on or prior to the date thirty (30) days preceding the end of such Term. For clarity, unless this Agreement and your subscription is so terminated, your subscription will renew for a Term equivalent in length to the then expiring Term.

Customer is responsible for properly cancelling your Account. An email request to cancel your Account shall result in cancellation. Any cancellation of your Account will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all content in your Account. This information cannot be recovered from Notifyy.io once your account is cancelled. After terminating a customer account, there will be a 90-day grace period where the customer can reactivate the account. After 90 days, the account deletion process will begin, and the customer will have to purchase a new account and cannot retrieve any of their existing Notifyy account information. Please be aware of that. You can cancel at any time, but you will remain liable for all charges accrued up to that time, including full monthly charges for the month which you discontinued service. You will not be charged again.

Notifyy.io will use all reasonable efforts to contact you directly via email to warn you prior to suspension or termination of your account. Any suspected fraudulent, abusive, or illegal activity that may be grounds for termination of your use of Service, may be referred to appropriate law enforcement authorities. Notifyy.io shall not be liable to You or any third party for any modification, suspension or discontinuation of the Service - Termination For Non-payment

Refunds and Termination Charges - No refunds or credits for Fees will be provided if you elect to terminate this Agreement prior to the end of your Term. If you terminate this Agreement prior to the end of your Term.
